Transfer of shareholder assets

The assets of 14 share classes (the “Existing Share Classes”) in the following Artemis ICVC funds were transferred to corresponding share classes (the “New Share Classes”) within sub-funds of Artemis Funds (Lux), our Luxembourg-domiciled SICAV on 22 March 2019, by way of Schemes of Arrangement (the “Mergers”) :
- Artemis US Absolute Return Fund
- Artemis US Extended Alpha Fund
- Artemis US Select Fund
- Artemis US Smaller Companies Fund
As described in the Circular issued to shareholders on the 24 January 2019, the Existing Share Classes were closed as part of the Mergers. Post-Merger confirmations including Merger details have been sent to shareholders.
Class I conversions
In accordance with the terms of the Schemes of Arrangement and as explained in the Circular, all New Shares which have been issued in Artemis Funds (Lux) as a result of the Mergers are in class A or B. However, some investors may be eligible to invest in class I shares in Artemis Funds (Lux). These incur a lower rate of the Luxembourg taxe d’abonnement than class B shares, but are only available to eligible institutional investors. Such investors can elect to have their holdings converted into class I shares on completion of the necessary class I declaration.
